Ctrl Enter Subscription Terms

Effective as of September 25, 2025

These Ctrl Enter Subscription Terms (“Subscription Terms”) apply to any Customer who subscribes to the Ctrl Enter product directly via the Enter website without executing a separate signed Order Form. These terms form a legally binding agreement between the subscribing entity (“Customer”) and Enter RCM LLC (“Company”), and are incorporated by reference into the Enter Terms of Service (“Terms”).

By subscribing to Ctrl Enter via the website, Customer agrees to be bound by these Subscription Terms and the Terms.

1. Start Date

The “Start Date” shall be the date on which the Customer completes the self-service signup process and payment is confirmed.

2. Initial Service Term

The Initial Service Term is one (1) year from the Start Date, unless otherwise indicated at the time of signup.

3. Services Provided

Company will provide access to the Ctrl Enter AI overlay platform for healthcare organizations on a subscription basis.

4. Fees

All fees are non-refundable except as explicitly stated in the Terms of Service.

Initial Minimum Seats: 1

Additional Seats: May be added at the same per-seat rate at any time, and will be billed for the remainder of the then-current Subscription Term

Billing Frequency: Monthly in advance

5. Subscription Term & Renewal

After the Initial Service Term, the subscription shall automatically renew for additional one (1) year terms (each, a “Renewal Term”) unless either party provides written notice of non-renewal at least 30 days prior to the end of the then-current term.

6. HIPAA Compliance

Ctrl Enter is provided pursuant to a Business Associate Agreement (BAA) between Company and Customer. Customers will be required to execute the BAA electronically during or immediately after signup. Company uses third-party large language model providers (e.g., OpenAI, xAI) with zero data retention to process Customer inputs.

7. Entire Agreement

These Subscription Terms and the Enter Terms of Service constitute the entire agreement between Company and Customer for the Ctrl Enter product when purchased via the website. These terms supersede any pre-printed terms on purchase orders or other documents provided by Customer.

8. Modifications

Company reserves the right to update these Subscription Terms in accordance with the modification procedures outlined in the Enter Terms of Service. Material changes will be communicated to active Customers.
